Binding Contract
These Terms of Service (including a binding arbitration clause) constitute a legal agreement between you and Bidhaus, LLC (doing business as “PrizeUp”) (“PrizeUp,” “we,” “our,” or “us”).
These Terms govern your access to and use of the PrizeUp website located at https://prizeup.space (the “Site”) as well as any associated applications, content, or services we provide (collectively referred to as the “Services”).
By accessing or using any portion of the Site or Services, you confirm that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy.
If you do not agree to all the terms and conditions stated herein, you must immediately discontinue use of the Site and Services.
Modifications to Terms
PrizeUp reserves the right to modify, amend, or update these Terms of Service from time to time.
If any changes materially affect your rights, we will provide notice by:
Posting the revised Terms on the Site at least thirty (30) days prior to the effective date, and
Sending an email notification to the address you most recently provided to us (if available).
It is your responsibility to ensure that your contact information, including your email address, remains accurate and up to date so that you may receive such notices.
If you disagree with the updated Terms, you should stop using the Services and, if you have an active account, contact us at support@prizeup.space within thirty (30) days to cancel your account. In that case, you will not be bound by the revised Terms.
Your continued use of the Site or Services after the effective date of any changes constitutes your acceptance of those revisions.
No employee or representative of PrizeUp is authorized to alter or amend these Terms of Service except through the official process described above. Any purported modification made outside this process shall have no binding effect on PrizeUp.
Notice Regarding Dispute Resolution
PLEASE READ THIS CAREFULLY.
These Terms of Service include provisions that determine how disputes between you and PrizeUp will be resolved (see Section 17, “Dispute Resolution and Arbitration”).
By agreeing to these Terms, you understand and acknowledge that, unless you opt out in accordance with Section 17:
You are required to submit any claims or disputes you may have against PrizeUp to binding arbitration rather than court litigation.
You may only pursue claims on an individual basis and not as a member or representative of any class or collective action.
You are limited to seeking individual relief (monetary, injunctive, or declaratory) as permitted by law.
If you wish to opt out of arbitration, you must follow the specific process detailed in Section 17.
Description of the Services
PrizeUp operates as a digital platform designed to facilitate charitable fundraising through online sweepstakes and prize promotions (each referred to as a “Sweepstakes”).
Each Sweepstakes is independently hosted and benefits a specific charitable organization (a “Charity”). PrizeUp provides the technical and administrative platform that allows Charities to raise funds and participants to enter for a chance to win exclusive prizes and experiences.
Each Sweepstakes operates separately — an entry into one Sweepstakes does not constitute entry into any other.
Complete details regarding the prize(s), participating charity, entry deadlines, eligibility requirements, and rules governing each Sweepstakes are specified in the Official Rules available on that Sweepstakes’ campaign page.

Service Updates
We continuously strive to enhance and refine our Services. Over time, we may introduce new features, modify existing ones, or adjust available offerings. We reserve the right, at any time and without prior notice, to alter, suspend, or completely discontinue any portion of the Services, without incurring any liability to you or third parties.
Eligibility
Our Services are intended for individuals who are at least thirteen (13) years of age. Certain sweepstakes or promotional campaigns may have additional eligibility requirements, which will be clearly stated in the official rules of the respective promotion. If you are under the age of thirteen, you are not permitted to access or use our Site or Services.
Privacy Policy
Before using our Services, please review our Privacy Policy to understand how we collect, process, and use the information you provide. The Privacy Policy is incorporated into and governed by these Terms of Service. By agreeing to these Terms, you also consent to the terms outlined in the Privacy Policy and acknowledge that we may handle your personal data in accordance with that document.
Registration
Certain features of the Services may require you to create an account by registering and selecting a username and password. When choosing a user ID, you may not:
(a) impersonate another person;
(b) use a name that belongs to someone else without proper authorization; or
(c) select any username that could be deemed offensive, obscene, or inappropriate.
We reserve the right, at our discretion, to deny or terminate any registration or username that violates these conditions. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Sweepstakes and Prize Draws
All sweepstakes, contests, and prize draws available through the Services are governed by their specific Official Rules, which outline eligibility, participation requirements, and prize details. Please refer to the individual rules of each promotion for complete information.
Registration via Social Media
You may also register or sign in to our Services through third-party social media platforms such as Facebook, Twitter, or others. By doing so, you authorize us to access certain information from that platform, as permitted by its privacy policy and your account settings. This may include details such as your name, profile information, and login credentials.
We may store the username and password used to log in through such social media services to facilitate your access. To learn more about how we handle data obtained from third-party services, please review our Privacy Policy. You can manage what information is shared with us by adjusting your privacy settings within the respective social media account.
Prohibited Activities
You may use the Services solely for your own personal, individual, and non-commercial purposes, in full compliance with these Terms of Service and all applicable laws. Any other use of the Services, directly or indirectly, is strictly prohibited.
In particular, you agree not to do any of the following, whether manually or through the use of any device, software, script, website, automated tool, or other means:
Bypass or interfere with protection mechanisms — remove, modify, disable, avoid, or circumvent any copyright, trademark, or proprietary notice, or any content protection or access control system (including geo-blocking or DRM tools) associated with the Services.
Copy or redistribute content — download, reproduce, archive, distribute, publish, display, perform, transmit, broadcast, or otherwise exploit any part of the content offered through the Services without our express written consent.
Embed or rehost content — incorporate any portion of the Services or its content within another website, software application, or online service (including through framing, in-line linking, or embedding) without authorization.
Index or aggregate content — create, reproduce, distribute, or advertise any index, compilation, or database containing any substantial portion of content from the Services.
Commercial use — use any content or functionality of the Services for commercial or business purposes, whether or not for profit, unless explicitly approved in writing by PrizeUp (Bidhaus LLC).
Derivative works — create derivative materials or works based on any part of the Services or its content, including but not limited to compilations, mashups, wallpapers, merchandise, or themed media, unless expressly permitted in writing. This restriction applies even if such works are distributed free of charge.
Unauthorized access — use any technology, method, or process to access, index, scrape, frame, or link to the Services or its content in ways not expressly authorized by PrizeUp.
Submit prohibited content — upload, post, or otherwise provide any user content that:
is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, or otherwise offensive;
contains false, fraudulent, deceptive, or misleading information, including falsified account details or fake reviews;
infringes upon or violates any third-party’s intellectual property, privacy, publicity, or other proprietary rights; or
is provided in exchange for compensation, incentives, or benefits from third parties.
Account misuse —
create a new account without prior written permission if your account has been suspended or terminated;
transfer or sell your account to another individual or entity; or
use your account to evaluate, benchmark, or replicate our Services for competitive purposes.
Malicious activity — engage in any behavior that constitutes poor digital conduct, including but not limited to spamming, phishing, distributing malware or spyware, unauthorized data collection, or attempting to hack or reverse-engineer our systems.
Automated access and excessive use — use automated systems (such as bots or crawlers) to access or scrape the Services, except legitimate search engines indexing for public search purposes. You must not overload the system by uploading or downloading excessive amounts of data, or attempt to bypass bandwidth limits, rate restrictions, or storage thresholds.
Reverse engineering and tampering — reverse engineer, decompile, disassemble, modify, or create derivative works based on any software, code, or application associated with the Services, nor may you remove copyright notices or sublicense, distribute, or copy such materials.
All text, graphics, logos, designs, audio, video, and other materials provided through the Services are protected by intellectual property laws and remain the sole property of Bidhaus LLC (doing business as PrizeUp) or its licensors.
Voluntary Donations
All donations made through the Services are entirely voluntary and, to the extent permitted by law, may be tax-deductible. You may choose to make a donation to a charitable organization in order to participate in a sweepstakes or prize draw offered through the Services. Payment processing and transaction fees may be deducted from your donation. For details, please refer to our “How It Works” page. Participation in any sweepstakes does not require a purchase, payment, or donation. All donations are final and non-refundable. Your Account
To make a voluntary donation or access certain features of the Services, you must register and create an account.
Responsibility for Your Account
You are solely responsible for all activity conducted through your account. Do not share your user ID or password with anyone. If you believe your account credentials have been compromised or notice unauthorized activity, contact us immediately at support@prizeup.space. You should not use your account as a storage space for User Content you wish to keep private.
Updating Your Email Address
We may send you communications regarding your account, our Services, updates to these Terms of Service, and other important notices. You are responsible for keeping your account information, including your email address, current. Some emails, such as marketing communications, may be opted out of by following the instructions included in those emails, or by contacting support@prizeup.space.
Content
“Content” includes all materials made available through the Services, including but not limited to text, graphics, images, illustrations, logos, trademarks, service marks, copyrights, photographs, videos, or other data.
User Content
You retain ownership of all content you provide to PrizeUp in connection with the Services (“User Content”). You are solely responsible for any User Content you submit and assume all risk and liability associated with it. PrizeUp acts only as a passive conduit for the distribution and publication of your User Content. Carefully consider the nature of any User Content you provide; we strongly advise against sharing personal information that could allow others to identify or locate you. You are solely responsible for your interactions with other users of the Services.
Compliance with Laws
You must comply with all applicable laws, rules, and regulations when using the Services or submitting User Content. You represent and warrant that you have all necessary rights and permissions for any User Content you submit and that such content does not violate the rights of third parties, including intellectual property, privacy, or publicity rights.
License Grant to PrizeUp
By submitting User Content, you grant PrizeUp a perpetual, irrevocable, non-exclusive, sublicensable, transferable, worldwide, royalty-free license to use, copy, store, modify, distribute, perform, display, excerpt, translate, and create derivative works from your User Content in any media now known or later developed, and to allow others to do the same. You also waive any moral rights or rights of attribution with respect to such content.
Content from Other Users or Third Parties
PrizeUp is not responsible for User Content submitted by other users or third parties. You acknowledge that you may encounter content that is inaccurate, offensive, or otherwise inappropriate. PrizeUp assumes no liability for such content.
No Compensation for User Content
You will not receive any compensation for providing User Content or for your use of the Services.
PrizeUp’s Rights to Review or Remove User Content
PrizeUp may, at its sole discretion, monitor, investigate, or remove User Content that it believes may violate these Terms of Service or pose other issues. While we reserve these rights, we do not guarantee that all problematic content will be screened or removed. To report concerns, contact support@prizeup.space. We may remove User Content at any time, with or without notice.
Ownership of PrizeUp Content
Except for User Content you provide, PrizeUp (or its licensors) retains all rights, title, and interest in all content, intellectual property, trademarks, service marks, logos, technology, and processes associated with the Services. You may not copy, modify, distribute, or create derivative works from any content or trademarks you do not own.
PrizeUp Intellectual Property
All copyrights, trademarks, and other intellectual property on the Site (collectively “PrizeUp Intellectual Property”) are owned by Bidhaus LLC or its licensors. Nothing in these Terms grants you any license or right to use PrizeUp Intellectual Property, or any third-party intellectual property, except as expressly permitted. PrizeUp will enforce its intellectual property rights to the fullest extent allowed by law.
Copyright, Trademark, and Other Infringement Policies
Respect for Intellectual Property
PrizeUp is committed to respecting intellectual property and other rights. We respond to notices of alleged copyright or trademark infringement in accordance with applicable laws, including the U.S. Digital Millennium Copyright Act (DMCA), and may terminate accounts of repeat infringers as appropriate.
DMCA Policy
PrizeUp will respond to valid copyright infringement notices concerning materials posted by users and may remove or disable access to the alleged infringing content. Repeat infringers may have their accounts terminated. We may also, at our discretion, suspend or terminate the account of any user who infringes intellectual property rights, whether or not it is a repeat occurrence.
If you believe your copyright has been infringed, please submit a notice to:

Physical or electronic signature of a person authorized to act on behalf of the copyright owner.
Identification of the copyrighted work(s) claimed to have been infringed.
Identification of the material alleged to be infringing and sufficient information to locate it.
Contact information for the complaining party, including address, telephone number, and email.
A statement in good faith that the use of the material is not authorized by the copyright owner, its agent, or the law.
A statement that the information is accurate and that the complaining party is authorized to act on behalf of the copyright owner.
If a notice of copyright infringement is filed against your content, you may submit a counter-notification containing:
Your physical or electronic signature.
Identification of the material removed or disabled and the location where it appeared.
A statement under penalty of perjury that you believe the material was removed or disabled by mistake or misidentification.
Your name, address, telephone number, and consent to the jurisdiction of the federal district court where you are located (or in Texas if outside the U.S.) and agreement to accept service of process from the complaining party.
If we receive a valid counter-notification, we may restore the removed or disabled material according to the DMCA.
Other Infringement or Abuse
We are also concerned with other violations, misuse, or abuse of the Services. To report issues unrelated to copyright or trademark, contact support@prizeup.space. PrizeUp may, at its sole discretion, limit, suspend, or terminate access, remove content, or take other technical or legal measures to prevent misuse, infringement, or violations of our policies.
Termination
Termination of Accounts
PrizeUp may suspend or terminate your account or access to any Services, Content, or applications at any time, for any reason, or no reason at all. You may voluntarily terminate your account at any time by contacting support@prizeup.space.
Effect of Termination
Upon termination, you will no longer have access to any information or materials stored in your account. Unless you request deletion, we may retain your information for backup, archival, legal, and audit purposes, and to allow account reactivation. PrizeUp may continue to use your User Content and retain communications you posted in public or semi-public areas indefinitely, in accordance with these Terms of Service.
Survival
Provisions regarding intellectual property, confidentiality, disputes, warranties, indemnities, and limitations of liability will survive termination of the Services or closure of your account.
Third-Party Websites, Advertisers, and Services
Third-Party Links
The Services may contain links to third-party websites, advertisers, or services not controlled by PrizeUp. We are not responsible for the content, privacy policies, or practices of any third-party website. Accessing third-party sites is at your own risk, and these Terms of Service and PrizeUp’s Privacy Policy do not apply to your use of such sites.
Third-Party Promotions
Any purchases or transactions with third-party advertisers or vendors on the Services are solely between you and the third party. PrizeUp is not responsible for any loss, damage, or disputes arising from your dealings with third parties.
Indemnity, Disclaimers, and Limitations on Liability
Indemnity
You agree to indemnify, defend, and hold harmless PrizeUp, the Charities, and their affiliates, officers, directors, employees, contractors, licensors, and agents (collectively, “Covered Entities”) from any claims, liabilities, damages, or expenses arising from your use of the Services or violation of these Terms of Service. PrizeUp may assume exclusive defense and control of any matter, and you agree to cooperate with our defense. Do not settle claims related to the Services without our written consent.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COVERED ENTITIES PROVIDE THE SERVICES “AS IS,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The Services may include content from third parties, and PrizeUp makes no representations regarding potential benefits of using the Services. You assume all risks related to third-party content and links.
Limitations of Liability
The Covered Entities shall not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, business interruption, or loss of business information, even if advised of the possibility of such damages. The sole remedy under these Terms is reimbursement of any fees paid for the portion of Services giving rise to a dispute. In disputes with other users, you release the Covered Entities from all claims, known or unknown. New York residents specifically waive New York Civil Code Section 1542.
Exceptions
If you reside in a jurisdiction that does not allow certain disclaimers or limitations, these may not apply.
Timing of Claims
All claims against PrizeUp related to these Terms or Services must be brought within two years of the date the claim arises.
Legal Disputes and Arbitration
Initial Dispute Resolution
If you have any concerns regarding your use of the Services, please contact us at support@prizeup.space. Most issues can be resolved quickly via email. Both parties agree to use their best efforts to settle any dispute, claim, or disagreement through consultation and good-faith negotiations before initiating litigation or arbitration.
Binding Arbitration Agreement
If the parties are unable to resolve a dispute within 30 days of initiating informal dispute resolution, either party may pursue binding arbitration. All claims arising from or relating to these Terms of Service, your use of the Services, or your relationship with PrizeUp shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes, excluding rules permitting class actions. The arbitrator has exclusive authority to resolve all disputes regarding the interpretation, enforceability, or formation of these Terms. The arbitrator may award any relief available in a court of law or equity. The award is binding and enforceable in any court of competent jurisdiction.
You may access the AAA’s rules at www.adr.org or call 1-800-778-7879. PrizeUp will cover any arbitration filing fees exceeding the cost of a court lawsuit. In certain cases, attorney fees may also be recoverable under the arbitration rules.
Parties understand that arbitration replaces the right to a jury trial and may limit discovery and other procedures available in court.
Class Action Waiver
Arbitration will proceed on an individual basis only, not as a class action or representative action. Both parties waive any right to pursue claims as a class. If a court or arbitrator finds the class action waiver unenforceable, the arbitration provision is void in its entirety, and neither party is deemed to have agreed to arbitrate.
Small Claims Court Exception
Notwithstanding arbitration, either party may pursue claims in small claims court if within that court’s jurisdiction.
30-Day Opt-Out
You may opt out of arbitration and the class action waiver within 30 days of registering by sending written notice to:

Exclusive Venue for Litigation
To the extent arbitration does not apply, or to enforce an arbitration award, litigation shall be filed exclusively in state or federal courts in New York County, New York (except small claims actions, which may be filed locally). You consent to New York jurisdiction and waive objections to personal jurisdiction.
Governing Law
These Terms of Service constitute an online contract governed by the internal laws of New York, without regard to conflict of law principles.
Information Collected by Third Parties
Analytics
We use third-party analytics, including Google Analytics, to gather anonymous data about user interactions with the Services, including pages viewed, purchase history, and geographic location. This information allows us to improve the Services.
Third-Party Advertising
The Services may include third-party ads, links, and content. Third-party advertisers may use cookies or web beacons to track user interactions and deliver personalized advertising. PrizeUp has no control over these technologies and is not responsible for third-party privacy practices. Review the privacy policies of any third-party website or service you visit.
Opt-Out Options
Certain third-party advertisers comply with the Network Advertising Initiative (NAI) and Digital Advertising Alliance (DAA) opt-out protocols. For more information:
General Provisions
Entire Agreement
These Terms of Service, together with referenced terms, constitute the entire agreement between you and PrizeUp.
Assignment
PrizeUp may assign these Terms to any entity that agrees to be bound.
Severability
If any provision is unenforceable, the remainder of the Terms remains in effect.
No Third-Party Beneficiaries
These Terms are solely between you and PrizeUp.
Relationship of Parties
Nothing in these Terms creates an agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship.
Waiver
Failure to act on a breach does not waive PrizeUp’s rights regarding future breaches.

Sweepstakes and Prize Draws
Overview
Each Sweepstakes or Prize Draw supports a charitable organization and is governed by (a) these Terms of Service and (b) the specific Sweepstakes details on its Campaign page. In case of conflict, the official Sweepstakes rules govern.
No Purchase Necessary
Participation does not require a purchase, donation, or payment. Voluntary donations are allowed but do not increase the chance of winning. Refer to each Sweepstakes’ official rules for alternative entry methods.
Data Use
Information submitted for a Sweepstakes is shared with the charity per our Privacy Policy.
Donations
