TIMING
The “What Can You Do With $10K?” (the “Sweepstakes”) begins on 5/21/2025 00:01:00 PST (the “Sweepstakes Start Date”) and ends on 12/16/2025 23:59:00 PST (the “Sweepstakes End Date”) (such period referred to herein as the “Sweepstakes Entry Period”). All times are measured by Pacific Time (PT) in the United States, which is the time in Los Angeles, CA. The Sweepstakes is administered by Bidhaus, LLC (dba “Prizeup”), 11601 Wilshire Blvd, Suite 200, Los Angeles, CA 90025 (the “Administrator” and “Sponsor”), and is for the benefit of Entertainment Industry Foundation (the “Designated Grantee”) who will distribute the funds to the SoCal Fire Fund.

ELIGIBILITY
The Sweepstakes is only open to individuals who are at least thirteen (13) years of age at the time of entry. Entrants under the age of eighteen (18) years (or the majority in their jurisdiction of legal residence) must have the permission of their parent or legal guardian to enter and/or win, and will need to have a parent or legal guardian sign any required documents for winner validation and accompany such minor on any prize experience. Entries are limited to individuals only; commercial enterprises and business entities are not eligible. By participating in the Sweepstakes, each participant unconditionally accepts and agrees to comply with and abide by the terms and conditions stated in these Official Rules and the Terms of Service, which shall be final and binding in all respects, agrees to be bound by the decisions of Administrator, and warrants that she/he is eligible to participate in the Sweepstakes. Employees, independent contractors, officers, and directors of Administrator, Sponsor, prize provider, and their respective affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, and legal advisors, and their immediate family members and persons living in the same household, are not eligible to participate in the Sweepstakes. Sweepstakes is void in Cuba, Islamic Republic of Iran, Iraq, Democratic People’s Republic of Korea, Myanmar, Sudan, Syrian Arab Republic, the Province of Quebec, and any place where offering the Sweepstakes or awarding a prize is prohibited. Subject to all applicable laws.

HOW TO ENTER
(a) By Donating. During the Sweepstakes Period, visit https://prizeup.space/the-sphere/ (“Sweepstakes Website”) and donate to the Sponsor’s campaign. You can receive entries based on the amount you donate per the following chart:

• $10 → 100 entries

• $25 → 350 entries (250 entries plus 100 bonus entries)

• $50 → 500 entries

• $75 → 750 entries

• $100 → 1,000 entries

• $150 → 1,500 entries

• $250 → 2,500 entries

If you donate an amount not stated on the chart above, you will receive the number of entries stated on the Sweepstakes Website prior to finalizing your donation. (In most cases, the number of entries is 10 times the amount of the donation.) All donations are final and nonrefundable.

(b) Without Donating. To enter the Sweepstakes for free without donating to the Sponsor’s campaign, visit the Sweepstakes Website and follow the on-screen instructions to complete the online entry form (“Form”). All fields must be completed. Incomplete entries are void. Each valid submission of the Form earns 2,500 entries. You may complete and submit the Form as many times as you wish, subject to the overall limit on entries per person disclosed herein.

(c) General Conditions. Proof of submission is not proof of receipt. Entries will not be acknowledged or returned. No responsibility is assumed for illegible, lost, late, incomplete, or misdirected entries. Incomplete, illegible, late, lost, or misdirected entries will not be accepted, acknowledged, or returned. Sponsor may have similar offers at the same time as this Sweepstakes. Each Sweepstakes is separate. Entry into one Sweepstakes is not entry into any other Sweepstakes. Use of any robotic or other automated means to submit entries—or any attempt to submit more than the permitted maximum number of entries by any person, whether by use of multiple identities, email addresses, or any other means—is grounds for disqualification.

(d) Bonus/Additional Entries. Additional entries in the Sweepstakes may be earned by referring a friend. To do so, log in to, or sign up for, the Sweepstakes Website using either your Facebook or Twitter account or your email address. Once logged in, a unique link will be displayed on the Sweepstakes Website, which you can copy and paste into an email or share on your social media feeds. For each donation made during the Sweepstakes Entry Period via your shared unique link, both you and the person making the donation will receive additional entries as stipulated on the campaign page sharing section. Multiple entrants are not permitted to share the same email address. Additional entries may also be earned from time to time by completing tasks specified on the Sweepstakes Website.

SELECTION OF WINNER / ODDS OF WINNING

Selection of Winner. On or about 12/17/2025 PST (the “Drawing Date”), Administrator will select the potential Sweepstakes winner (“Potential Winner”) in accordance with these Official Rules. The Administrator’s database computer is the official timekeeping device for the Sweepstakes. The Potential Winner will be selected by random drawing from all eligible entries received by the Administrator during the Sweepstakes Entry Period. The Potential Winner will be notified by email and/or by telephone on or about the Drawing Date, using the email address or telephone number provided with the selected entry, and will be conditionally awarded the Sweepstakes Prize (hereinafter defined) subject to verification of eligibility and compliance with the terms and conditions of these Official Rules. If a Potential Winner does not respond within 24 hours after the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such Potential Winner, such Potential Winner may be disqualified and an alternate Potential Winner may be selected. The notification will include instructions for how to contact the Administrator to provide name, address, and other information that may be required to complete validation of eligibility and delivery of prize. No liability is assumed for any winner notification that is lost, intercepted, or not received by a Potential Winner for any reason. At Sponsor’s discretion, a background check (“Background Check”) may be performed with respect to the Potential Winner as part of the process to confirm any Potential Winner’s eligibility and compliance with these Official Rules and the Terms of Service, which Background Check such Potential Winner would have to pass in order to receive the prize. By entering the Sweepstakes, entrant agrees to cooperate fully with any such Background Check, and to execute and deliver to Administrator all required authorizations and approvals for said Background Check to be conducted. Failure to cooperate may result in disqualification. If the prize includes the opportunity to meet a celebrity, attend a special event, or participate in any similar activity, or if Sponsor or Administrator intends to publicize the winner in any way, and if a background check reveals that a Potential Winner or Guest has engaged in conduct that could damage the reputation or business of Sponsor or Administrator, as determined by Administrator in its discretion, the Potential Winner may be disqualified and the prize may be awarded to an alternate Potential Winner, time permitting.

In the event that a Potential Winner is disqualified for any reason, Sponsor may award the applicable prize to an alternate Potential Winner who will be selected by a random drawing from among all remaining eligible entries. The selected Potential Winner must execute all consents as provided by applicable law.

Odds of Winning. Odds of winning the Sweepstakes Prize (hereinafter defined) depend on the number of eligible entries received during the Sweepstakes Entry Period.

VERIFICATION OF POTENTIAL WINNER

EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY ADMINISTRATOR. ADMINISTRATOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE ADMINISTRATION, OPERATION, SELECTION OF THE POTENTIAL WINNER, AND OTHER MATTERS RELATED TO THE SWEEPSTAKES. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY AND COMPLIANCE WITH THESE OFFICIAL RULES HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

Potential Winner may be required to complete and return a Declaration of Eligibility, Release of Liability, and/or Publicity Release in the form(s) provided by Administrator (where permitted by law) (collectively, the “Declaration”) by the date specified by Administrator, or such Potential Winner will be disqualified and an alternate Potential Winner may be selected.

If Potential Winner is a resident of Canada, such Potential Winner will be required to correctly answer Administrator’s mathematical skill-testing question without any assistance in order to be verified as a winner and to be eligible to receive a prize (the question will be posed as part of Potential Winner’s Declaration).

If Potential Winner is a minor in his/her jurisdiction of residence, Administrator reserves the right to award the prize to the Potential Winner’s parent or legal guardian, who must also execute all documents on behalf of the minor.

In the event that:
(a) Potential Winner cannot be reached within 24 hours of initial notification from Administrator, or for any reason after a reasonable effort has been exerted, or the Potential Winner notification or Declaration is returned as unclaimed or undeliverable;
(b) Potential Winner declines or cannot accept, receive, or use the prize for any reason;
(c) Potential Winner fails to comply with the above or within any of the specified time periods;
(d) Potential Winner is found to be ineligible to enter the Sweepstakes or receive the prize;
(e) Potential Winner cannot or does not comply with these Official Rules or Terms of Service;
(f) Potential Winner fails to fulfill the Prize-related obligations or fails to pass the Background Check in Administrator’s reasonable discretion; or
(g) if Potential Winner is a Canadian resident and fails to answer the skill-testing question,

the Potential Winner shall be disqualified from the Sweepstakes, and an alternate Potential Winner may be randomly selected, at Administrator’s sole discretion, from among the other eligible entries received.

Administrator reserves the right to modify the notification and Declaration of Eligibility procedures in connection with the selection of an alternate Potential Winner, if any.

A Potential Winner will be declared the Sweepstakes Winner when all of the conditions described in sections 4 and 5 are fulfilled to the satisfaction of Administrator and Sponsor.

In the event of a dispute as to the identity of the entrant, any online entry will be deemed submitted by the authorized account holder of the e-mail account provided to Administrator at the time of entry and/or registration, provided such account holder meets the eligibility requirements for the Sweepstakes. The authorized account holder shall be the natural person to whom the applicable email address.

PRIZES

Grand Prize: One (1) lucky participant (the “Winner”) of the Sweepstakes will receive a single cash award of $10,000 USD (Approximate Retail Value (“ARV”): $10,000) (the “Prize”).

Promotional materials for the “What Can You Do With $10K?” Sweepstakes illustrate potential ways to use the $10,000 prize. These examples are purely for demonstration and do not constitute additional prize amounts. The Sweepstakes may be promoted on multiple web pages, which may be updated periodically. A sample list of URLs includes the following, though it may not be exhaustive:

Bonus Prizes: The Sponsor, Administrator, and Prize Provider may, at their sole discretion, introduce additional prizes beyond the Grand Prize at any time before the Sweepstakes ends (the “Bonus Drawing(s)”). Each Bonus Prize may have a separate entry period, detailed in an addendum to these Official Rules. Such updates serve as notice to participants, but the Administrator may also promote bonus prizes via email, social media, or other channels. Winners of Bonus Prizes will be selected at random from eligible entries during the Bonus Drawing period and will be subject to the terms and conditions of these Official Rules.

Prizes are non-transferable, cannot be redeemed for cash, and no substitutions are allowed, except at the sole discretion of the Administrator. The Sponsor and Administrator are only responsible for delivering the prize, not for its use or value. Should any advertised prize become unavailable, the Sponsor reserves the right to substitute a prize of equal or greater value. Winners are responsible for all taxes, fees, and expenses associated with claiming or using the prize, including but not limited to meals, transportation, and other incidentals. Misconduct may result in disqualification or removal from any prize-related event.

TERMS AND RELEASES

By participating, entrants agree to:

1. Fully comply with these Official Rules and accept the Administrator’s decisions as final.

2. Release, indemnify, and hold harmless the Administrator, Sponsor, Designated Grantee, their affiliates, partners, advertising agencies, celebrities, and all associated representatives (collectively, the “Released Parties”) from any claims, losses, or damages arising from participation in the Sweepstakes or use of any prize. This includes claims for personal injury, property damage, intellectual property infringement, defamation, or any other legal theory.

3. Acknowledge that prizes are awarded “as-is” without any express or implied warranty or guarantee, including value, quality, or fitness for a particular purpose.

4. Accept that the Released Parties are not liable if the prize is delayed, canceled, or otherwise unavailable, in which case no substitution is guaranteed unless determined by the Administrator.
